History

DEFEX S.A. is a company that was established in 1972. It has as a social aim the promotion and exportation of goods and services from Spanish companies.

DEFEX is a state commercial company that is majority owned by the Sociedad Estatal de Participaciones Industriales (SEPI). The Ministry of Inland Revenue and Public Administrations through SEPI, the Ministry of Foreign Affairs and Cooperation, the Ministry of Economy and Competitivity, the Ministry of Defence and various private shareholders are represented on its Board of Government.

Since it was founded DEFEX has undertaken intense commercial work abroad that has allowed it to open up markets distinct to the Defence sector, for which it was originally created. In 1990 DEFEX opened up a new line of work for the exportation of Police and Security equipment and over time this commercial activity has also expanded to Civil Protection, Firefighting, Health and Hospital equipment, Ports and Airport equipment, Civil Works and Mining.

The Board of shareholders of DEFEX in its role, in line with article 368 of the law 1/2010 of second of July, approves the law of Capital Companies, and article 74 of the Company`s Social Statute, and with the previous authorization of the Spanish Board of Ministers adopted by agreement on the 22nd of September 2017, agreed on the 10th of October of 2017 the dissolution of DEFEX SA SME.

In consequence, it declare the Company dissolved, leaving open a period of liquidation and adopting from this moment the name “DEFEX SA SME in liquidation”.

The Board of Shareholders agreed to nominate COFIVACASA SA SME as Liquidator, with NIF A28074342 and based at Veláquez 134 Bis, 3rd floor – 28006 Madrid.

The appointment of the Liquidator is in line with that established in article114.2 of the law 40/2015 of 1 October regulator of the Public Sector, which says that the liquidation of the State trading Company will be undertaken by an Organ of the General State Administration or an Entity that is part of the State Institutional Public Sector.

It is the will of DEFEX¨S Shareholders that this liquidation is done in an orderly way to fulfill all its contracts in execution and those pending execution, to fulfill all its obligations and pay the debts of the Company as well as asking for the payments of the rights which make up the assets.
